ATC Quest โ€” Learning Management System

Welcome to ATC Quest, a Learning Management System ("Platform", "Service", "ATC Quest", or "LMS") owned and operated by Aarna Tech Consultants Private Limited("Company", "we", "us", or "our"), having its registered office at 72 G Road, Kadma, Jamshedpur, Jharkhand 831005, India. By accessing, registering on, or using the Platform, you agree to be bound by these Terms and Conditions.

Introduction and Acceptance

Welcome to ATC Quest, a Learning Management System ("Platform", "Service", "ATC Quest", or "LMS") owned and operated by Aarna Tech Consultants Private Limited("Company", "we", "us", or "our"), having its registered office at 72 G Road, Kadma, Jamshedpur, Jharkhand 831005, India.

By accessing, registering on, or using the Platform โ€” through the web application, mobile application, or any related services โ€” you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms applicable to specific features.

Important: If you do not agree with any part of these Terms, you must not access or use the Platform.

Definitions

For the purpose of these Terms:

  • "Platform" refers to ATC Quest, including its web portals, backend services, APIs, and associated mobile applications.
  • "Learner" means an end-user enrolled in a course or learning program on the Platform.
  • "Client" / "Client Organization" means a corporate or institutional entity that has purchased licenses to use the Platform for training its personnel.
  • "Client Administrator" / "SPOC" means an authorized representative of a Client who manages learners, groups, and content on behalf of the organization.
  • "Platform Administrator" means employees or authorized personnel of the Company with administrative privileges over the Platform.
  • "Content" means all courses, episodes, videos, audio, assessments, quizzes, surveys, feedback forms, certificates, badges, banners, documents, images, and any other material made available through the Platform.
  • "License" means the right to access and use the Platform purchased by a Client.
  • "User Data" means any data submitted, generated, or processed through the Platform on behalf of a User.

Eligibility

To use the Platform, you must:

  • Be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater.
  • If you are between thirteen (13) and eighteen (18), use the Platform only with verifiable consent and supervision of a parent, legal guardian, or authorized educational institution.
  • Have the legal capacity to enter into a binding contract.
  • Not be barred from receiving the Service under the laws of India or any other applicable jurisdiction.

If you are accessing the Platform on behalf of a Client Organization, you represent and warrant that you are authorized to bind such organization to these Terms.

Account Registration and Security

4.1 Account Creation

Access to the Platform requires registration. Accounts may be created:

  • Directly by Platform Administrators (for Client Administrators and SPOCs).
  • By Client Administrators (for Learners within their organization), including via bulk import.
  • Through Microsoft Azure Active Directory (Azure AD) Single Sign-On (SSO) where configured.

4.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep such information updated.

4.3 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials, including any OTP or 2FA codes.
  • All activities that occur under your account.
  • Promptly notifying the Company of any unauthorized access or security breach at [email protected].

4.4 Idle Logout

For security purposes, the Platform automatically logs out users after a defined period of inactivity. You acknowledge and consent to this auto-logout mechanism.

4.5 Single Active Session

The Platform may, at its discretion, restrict simultaneous logins from multiple devices for the same account.

License Grant and Use of the Platform

5.1 Grant of License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for its intended purpose โ€” namely, learning, training, administration, and reporting within the scope of your role.

5.2 Client License Model

Client Organizations purchase licenses based on the number of Learners, course access, duration, and other parameters specified in the applicable order form, statement of work, or commercial agreement.

5.3 Restrictions

You shall not:

  • Copy, reproduce, distribute, publicly display, or create derivative works of any Content without prior written permission.
  • Download, screen-record, or otherwise capture video streams, audio, quizzes, certificates, or any proprietary Content.
  • Reverse-engineer, decompile, or disassemble any portion of the Platform.
  • Bypass or circumvent any security, encryption, rate-limiting, or access-control mechanisms.
  • Share login credentials or allow any third party to use your account.
  • Use the Platform to transmit any unlawful, harmful, threatening, defamatory, obscene, or infringing material.
  • Use automated systems (bots, scrapers, crawlers) to access or extract data from the Platform.
  • Resell, sublicense, lease, or commercially exploit access to the Platform.
  • Upload viruses, malware, or any code intended to disrupt the Platform's functionality.
  • Misrepresent your identity, affiliation, or role.

User Roles and Responsibilities

6.1 Learners

Learners may access enrolled courses, episodes, quizzes, surveys, certificates, and submit support tickets. Learners are responsible for completing assessments honestly and without unauthorized assistance.

6.2 Client Administrators / SPOCs

Client Administrators are responsible for:

  • Ensuring lawful collection and upload of Learner data.
  • Compliance with applicable data protection laws when adding learners.
  • Communicating relevant policies to their learners.
  • Managing license consumption within purchased entitlements.

6.3 Platform Administrators

Platform Administrators operate within the scope of their assigned permissions and are bound by internal policies, confidentiality obligations, and applicable law.

7

Content and Intellectual Property

7.1 Ownership

All Content on the Platform โ€” including courses, videos, audio, images, text, graphics, logos, trademarks, software, designs, and underlying technology โ€” is the exclusive property of the Company, its licensors, or content partners, and is protected by copyright, trademark, and other intellectual property laws.

7.2 No Transfer of Rights

Nothing in these Terms transfers any intellectual property rights to you. You receive only a limited license to use the Content as expressly permitted.

7.3 User-Generated Content

Where the Platform allows you to submit content (e.g., feedback, support tickets, quiz answers, survey responses, profile information), you grant the Company a non-exclusive, royalty-free, worldwide license to use, store, process, and display such content for operating and improving the Platform.

7.4 Custom Client Courses

Where Client Organizations upload custom course content, the Client retains ownership and grants the Company a license to host and deliver it through the Platform.

7.5 Third-Party Content

The Platform may include third-party content, links, or integrations. The Company is not responsible for, and does not endorse, third-party content.

Video Streaming and Media

The Platform delivers video content via HTTP Live Streaming (HLS) at multiple resolutions (144p to 4K). You acknowledge that:

  • Streaming quality depends on your device, browser, and internet connection.
  • The Company does not guarantee uninterrupted or error-free streaming.
  • Recording, redistributing, or capturing video streams in any form is strictly prohibited.

Assessments, Quizzes, and Certificates

9.1 Honest Completion

Learners must complete quizzes, assessments, and surveys honestly. Use of unauthorized aids, impersonation, or cheating may result in invalidated results, revocation of certificates, and account termination.

9.2 Certificates and Badges

Certificates and badges are issued upon successful completion. Certificates:

  • Are issued in the Learner's registered name.
  • Are non-transferable.
  • May be revoked by the Company in cases of fraud, error, or breach of these Terms.

9.3 Validity

The Company makes no representation that certificates constitute regulatory accreditation unless expressly stated for a specific course.

10

Payments and Licenses

10.1 Pricing

Pricing for Client licenses is governed by the applicable commercial agreement, order form, or quotation.

10.2 License Approval

License purchase requests are subject to verification and approval. The Company reserves the right to accept or reject license requests at its sole discretion.

10.3 No Refunds

Except as expressly stated in the applicable agreement or as required by law, all fees are non-refundable. See our Refund Policy for details.

10.4 Taxes

Fees are exclusive of applicable taxes, levies, and duties, which shall be borne by the Client.

Data Protection and Privacy

11.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect personal data.

11.2 Data Processing

Where the Company processes personal data on behalf of a Client, the Company acts as a data processor and the Client as the data controller, in accordance with applicable data protection laws.

11.3 Encryption and Security

The Platform implements industry-standard security measures, including payload encryption, secure authentication (including 2FA), rate limiting, and audit logging. However, no system is entirely secure, and you use the Platform at your own risk.

11.4 Audit Logs

The Company maintains audit logs of significant user activity for security, compliance, and operational purposes.

Third-Party Services and Integrations

The Platform integrates with third-party services including:

  • Microsoft Azure Active Directory โ€” for SSO authentication.
  • Amazon Web Services (AWS) โ€” for storage and content delivery.
  • Google APIs โ€” for specified functionalities.
  • Zoho CRM โ€” for customer relationship management.

Your use of such services is subject to the respective third party's terms and privacy policies. The Company is not liable for the availability, accuracy, or practices of third-party services.

Notifications and Communications

By using the Platform, you consent to receive:

  • Transactional emails (account creation, password resets, license approvals).
  • Course and learning notifications, reminders, and certificate emails.
  • Service updates, maintenance notices, and policy changes.
  • Support communications.

You may manage certain notification preferences through your account settings or via the Email DND mechanism. You cannot opt out of essential transactional or legal communications.

Support and Service Levels

14.1 Support Tickets

Learners and Client Administrators may raise support tickets through the Platform. The Company will use reasonable efforts to respond within published service levels.

14.2 Maintenance

The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, or unforeseen events. The Company will, where reasonably practicable, provide advance notice.

14.3 No Uptime Guarantee

Unless explicitly agreed in a separate SLA, the Company does not guarantee any specific uptime percentage.

15

Suspension and Termination

15.1 Termination by the Company

The Company may suspend or terminate your access if:

  • You breach these Terms.
  • You engage in fraudulent, illegal, or abusive activity.
  • A Client license expires, is revoked, or payment is overdue.
  • Required by law, regulation, or court order.
  • Continued provision of services becomes commercially unreasonable.

15.2 Termination by You

You may stop using the Platform at any time. Client Organizations may terminate licenses in accordance with their commercial agreement.

15.3 Effect of Termination

Upon termination:

  • Your right to access the Platform ceases immediately.
  • Outstanding fees become immediately payable.
  • Provisions intended to survive โ€” including intellectual property, indemnification, limitation of liability, and governing law โ€” shall survive.
  • The Company may retain User Data as required by law or for legitimate business purposes.

Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

The Company does not warrant that:

  • The Platform will meet your specific requirements.
  • Access will be uninterrupted, timely, secure, or error-free.
  • Results obtained from use will be accurate or reliable.
  • Defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

THE COMPANY'S AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU OR YOUR CLIENT ORGANIZATION TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 10,000 / USD 100, WHICHEVER IS LOWER WHERE NO PAYMENT HAS BEEN MADE.

Indemnification

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, losses, costs, and expenses arising out of:

  • Your breach of these Terms.
  • Your violation of any law or third-party right.
  • Your misuse of the Platform or Content.
  • Content uploaded or shared by you (including, for Clients, content uploaded by your Learners).

Modifications to the Terms and Platform

The Company reserves the right to:

  • Modify these Terms at any time. Material changes will be communicated through the Platform or by email. Continued use constitutes acceptance.
  • Add, modify, suspend, or discontinue any feature, course, or functionality of the Platform.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Platform, including business processes, learner data, performance data, and configuration information. This obligation survives termination.

21

Governing Law and Dispute Resolution

21.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

21.2 Jurisdiction

Subject to Clause 21.3, the courts at Jamshedpur shall have exclusive jurisdiction over any disputes.

21.3 Arbitration (Optional)

At the option of the Company, any dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by the Company. The seat of arbitration shall be Jamshedpur, and the language shall be English.

Force Majeure

The Company shall not be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, internet or telecommunications failures, or third-party service outages.

Assignment

You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent. The Company may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force. Failure by the Company to enforce any right or provision shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms, statements of work, or commercial agreements, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior understandings.
